Jake Lawson here. Minnesota is one of the business-friendly states that doesn’t charge for annual renewals—but formation services will gladly charge you $99+ to file a form that takes 5 minutes to complete yourself. Let me show you exactly how to handle this requirement without paying unnecessary fees.
The Bottom Line: Minnesota Annual Renewal Basics
Cost: FREE (if filed on time)
Due Date: December 31st every year
Late Penalty: Administrative dissolution (your LLC gets shut down)
Reinstatement Cost: $25 by mail, $45 online
Processing Time: Immediate online, 4-7 days by mail
My recommendation: File online in early December. It takes 5 minutes and costs nothing.
When Your First Annual Renewal Is Due
Rule: Due December 31st of the year following your LLC formation.
Examples:
- LLC formed January 15, 2024 → First renewal due December 31, 2025
- LLC formed October 15, 2024 → First renewal due December 31, 2025
- LLC formed December 15, 2024 → First renewal due December 31, 2025
Jake’s insight: Minnesota gives you at least 11+ months from formation to your first renewal, which is more generous than most states.
Don’t Fall for Formation Service Upsells
I constantly see clients who get scared by renewal notices from companies like Incfile, LegalZoom, and others charging $99-$199 for “professional renewal services.”
What they’re selling you: A 5-minute form completion
What it actually costs: $0 if you do it yourself
Your savings: $99-$199 per year
Real client example: A Minnesota entrepreneur contacted me after Incfile sent him a “renewal notice” with a $99 fee due in 5 days. I walked him through filing it himself in under 10 minutes. Total savings: $99 annually.
The Smart Way: File Online Yourself
Step 1: Access the Minnesota System
Go to the Minnesota Secretary of State business portal
If you don’t have an account:
- Click “Register” to create one
- Use your personal email (you’ll get renewal reminders here)
- Keep your login credentials safe for future renewals
Step 2: Find Your LLC
- Click “New Business, Amendment, Annual Renewal or Reinstatement”
- Search for your LLC name at the top of the page
- Click “Details” next to your LLC in the results
Can’t find your LLC?
- Try different variations of your name
- If dissolved, select “Inactive” status before searching
- Double-check the exact spelling from your formation documents
Step 3: Start the Renewal Process
- Click “File Amendment/Renewal” at the top of your LLC’s page
- Scroll down to “Amendments – Available for Filing”
- Click “Annual Renewal – Limited Liability Company (Domestic)”
If your LLC was dissolved: Select “Annual Reinstatement” instead (you’ll pay $45 to reinstate)
Step 4: Complete the Required Information
Chief Manager Information:
- Name and address of person running day-to-day operations
- Usually the LLC owner/member
- Can be your home address
Principal Executive Office Address:
- Your LLC’s main business address
- Can be home address, office, or registered agent address
- Doesn’t have to match your formation documents
Contact Information:
- Name and phone for state communications
- Usually yourself as the main contact
Email for Official Notices:
- Enter your email for renewal reminders
- Check the box to prevent email sharing/spam
- Important: This is how you’ll get future renewal reminders
Agricultural Land Question:
- Select “No” unless your LLC owns/leases farmland
- If “Yes”: You need separate registration with MN Department of Agriculture ($15 fee)
Step 5: Review and Submit
- Double-check all information for accuracy
- Click “Submit” to complete your renewal
- You’ll receive immediate email confirmation
Total time: 5-10 minutes
Total cost: $0
Tip: If your LLC has been administratively dissolved, select “Continue to Make Payment” to access the US Bank Electronic Payment System. Then choose “Pay Without Registering,” enter your billing details, and click “Continue” to submit your Annual Renewal payment.
The Paper Filing Option (Not Recommended)
You can file by mail using the Annual Renewal Form, but here’s why I don’t recommend it:
Disadvantages of mail filing:
- Takes 4-7 business days to process
- No immediate confirmation
- Risk of getting lost in mail
- Same information as online form
- No cost savings
When mail filing makes sense:
- You don’t have reliable internet access
- You’re more comfortable with paper forms
- Your registered agent handles renewals for you
Note: You may either print the form and complete it by hand (using blue or black ink), then sign it, or fill it out on your computer, print, and sign. Be sure to use standard white paper (8.5″ x 11″) when printing.
What Happens If You Miss the December 31st Deadline
Immediate consequence: Administrative dissolution (your LLC is shut down)
What this means:
- LLC loses good standing with the state
- May lose liability protection
- Can’t legally conduct business in Minnesota
- Banking and contracts may be affected
- Professional licenses may be impacted
How to fix it:
- File an “Annual Reinstatement” instead of renewal
- Pay reinstatement fee ($25 by mail, $45 online)
- LLC returns to good standing immediately upon approval
Jake’s advice: Don’t risk it. File in early December when you get the reminder notice.
State Reminder System (Don’t Rely on It)
Minnesota sends renewal reminders in the fall to:
- Your registered agent address
- Email address provided during formation
- Email address provided in previous renewals
Problems with relying on reminders:
- Mail can get lost or delayed
- Email can go to spam folders
- Registered agents sometimes don’t forward promptly
- You might have moved and forgotten to update addresses
Better approach: Set your own calendar reminder for early December.
Common Minnesota Renewal Mistakes
Mistake #1: Paying Formation Services for Free Filing
Problem: Companies charge $99+ for something you can do free in 5 minutes
Solution: File directly with the state online
Mistake #2: Forgetting Agricultural Land Requirements
Problem: Not registering farmland ownership with Department of Agriculture
Solution: Register separately if your LLC owns/leases agricultural property
Mistake #3: Using Outdated Contact Information
Problem: State can’t reach you with important notices
Solution: Update your email and contact info during renewal
Mistake #4: Waiting Until the Last Minute
Problem: System overload or technical issues near December 31st deadline
Solution: File in early December when you receive reminders
Mistake #5: Assuming Renewal Isn’t Required
Problem: Some states don’t require annual filings; Minnesota does
Solution: Mark your calendar annually for Minnesota renewal
Minnesota vs. Other States: Why This Matters
Minnesota’s advantages:
- No annual fee (many states charge $50-$300)
- Simple online system
- Generous deadline (December 31st annually)
- Clear reinstatement process
States that charge annual fees:
- California: $800 annually
- Delaware: $300 annually
- Illinois: $250 annually
- New York: $9 biannually (minimal but still a fee)
Jake’s take: Minnesota’s free annual renewal is one of the reasons it’s a great state for LLC formation if you’re doing business there.
Your Minnesota Annual Renewal Action Plan
October/November (Preparation):
- Update your contact information with the state if you’ve moved
- Review your registered agent arrangement if using a service
- Set calendar reminder for early December filing
- Verify your state account login works properly
Early December (Execution):
- Log into Minnesota business portal
- Complete renewal in 5-10 minutes
- Save confirmation email for your records
- Update your business records with completed renewal date
Throughout the Year (Maintenance):
- Keep registered agent information current
- Monitor email for state communications
- Update address changes promptly with Certificate of Amendment
- Plan ahead for next year’s renewal
If Your LLC Has Been Dissolved
Don’t panic. Administrative dissolution for missed renewals is fixable:
Reinstatement Process:
- File “Annual Reinstatement” instead of renewal
- Pay reinstatement fee ($25 mail, $45 online)
- Provide all the same information as regular renewal
- LLC returns to good standing immediately
Catch-Up Requirements:
- File reinstatement for each missed year
- Pay reinstatement fee for each missed year
- Update all contact and business information
Example: If you missed 2022 and 2023 renewals, you’d file two reinstatements and pay two fees.
Agricultural Land Special Requirements
If your LLC owns, leases, or has financial interest in agricultural land, you have additional requirements:
What qualifies:
- Farmland currently being farmed
- Land capable of being farmed (even if not currently farmed)
- Leased agricultural property
- Financial interest in farming operations
Additional requirement:
- Register with MN Department of Agriculture
- Pay $15 registration fee
- File separate form with Agriculture Department
- This is in addition to your LLC annual renewal
Get the form: MN Department of Agriculture website
Troubleshooting Common Issues
“Can’t Find My LLC in Search”
- Try variations of your LLC name
- Check if you’re searching “Active” vs “Inactive” status
- Verify exact spelling from your formation documents
- Contact state at 651-296-2803 if still having trouble
“System Won’t Accept My Information”
- Ensure all required fields are completed
- Check formatting of addresses and phone numbers
- Try different browser if experiencing technical issues
- Clear browser cache and cookies
“Don’t Remember My Account Login”
- Use password reset function
- Contact state business services for help
- Create new account if necessary (won’t affect your LLC)
“Received Conflicting Renewal Notices”
- Only file directly with the state
- Ignore “renewal services” from private companies
- Forward suspicious notices to state fraud department
The Bottom Line on Minnesota Renewals
Minnesota’s annual renewal requirement is one of the easiest and cheapest in the country. The state provides a simple online system, charges nothing for on-time filing, and sends helpful reminders.
Don’t get scammed by formation services charging $99+ for a 5-minute task you can handle yourself for free.
Set up a system: Calendar reminder in early December, current contact information on file, and bookmark the state website for easy access.
Your annual savings: $99-$199 by handling this simple requirement yourself instead of paying service companies.
