  • Effective date (can be future-dated up to 90 days)
  • Organizer information (doesn’t have to be a member)

Critical note: Pennsylvania doesn’t list members on the Certificate of Organization. Your ownership remains private from public records. This is a huge privacy advantage most people miss.

The Docketing Statement: Pennsylvania requires this companion form that goes to the Department of Revenue. It asks for your business purpose—keep it simple but specific. “Consulting services” beats a paragraph of legalese.

File online through the PENN File system. Same processing time as mail but with instant confirmation. The $125 fee stings less when you realize it includes everything—no hidden state fees later.

Step 4: Operating Agreement Creation

Pennsylvania doesn’t require an Operating Agreement. Which is exactly why you need one.

Your Operating Agreement is your business constitution. It’s what separates legitimate businesses from hobby projects in court.

Essential Pennsylvania provisions:

  • Ownership percentages (Pennsylvania allows fractional interests)
  • Capital contribution records (who invested what)
  • Management structure (member vs. manager-managed)
  • Distribution formulas (don’t assume equal means fair)
  • Dissolution procedures (because optimism isn’t a business plan)

Single-member LLC? Still need one. It proves you’re running a real business, not just a personal piggy bank with “LLC” slapped on it.
